Terms of Service
Effective Date: July 28, 2026 for new users; for existing users, when affirmatively accepted
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THESE TERMS APPLY WHEN YOU FIRST ACCEPT THEM ON OR AFTER JULY 28, 2026 OR WHEN YOU AFFIRMATIVELY ACCEPT THIS UPDATE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
Project Lens, LLC (“we,” “us,” or “our”) provides a software-as-a-service platform (“Services”) designed to assist construction professionals with project documentation, photo management, team collaboration, and related tools through our website, mobile applications, and associated features. These Terms of Service (“Terms”) govern your access to and use of the Services.
This version is effective for users who first accept the Terms on or after July 28, 2026. Existing users remain subject to the version they previously accepted until Project Lens presents this version for affirmative acceptance.
1. Acceptance of Terms
By creating an account and accepting these Terms, or by affirmatively accepting this update when presented, you enter into a legally binding contract with Project Lens, LLC. If you are using the Services on behalf of an entity (e.g., your employer), you represent that you have authority to bind that entity to these Terms.
2. Changes to Terms
We may update these Terms from time to time. Except for changes to the subprocessor list handled as described in the Data Processing Agreement, we will notify you of material changes via email or in-app notice at least 30 days in advance, where feasible. When we require affirmative acceptance, the updated Terms do not apply to an existing user until that user accepts them, and we may require acceptance before continued use of the Services. For other changes, continued use after the stated effective date indicates acceptance. If you disagree with changes, you may terminate your account before they take effect.
3. User Eligibility
To use the Services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction.
- Provide accurate and complete information during registration.
- Not be prohibited from using the Services under applicable laws.
We reserve the right to refuse or revoke access if we determine you do not meet these criteria.
4. Privacy and Data Handling
Your privacy is important to us. Our Privacy Policy explains how we collect, use, share, and protect your data, including personal information related to users, projects, clients, and any associated details such as contact information, location data, project-related content, jobsite audio, transcripts, and generated Rundowns. For organizational or business customers, and only to the extent Project Lens processes Customer Personal Data on your behalf as a processor or service provider, the Project Lens Data Processing Agreement available at projectlens.io/legal/dpa is incorporated into these Terms by reference. We process Personal Information as described in the Privacy Policy and applicable DPA. You are responsible for having authority to submit third-party information and for providing any notices and obtaining any consents required by applicable law.
5. Ownership and Limited License
We own all rights, title, and interest in the Services, including software, designs, interfaces, and any content we provide (“Our Content”). This is protected by intellectual property laws, including copyrights and trademarks.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes related to construction project management. You may not:
- Modify, adapt, or create derivative works from the Services or Our Content.
- Reverse-engineer, disassemble, or attempt to derive source code.
- Remove any proprietary notices.
- Use automated tools to scrape or extract data without permission.
Any unauthorized use terminates this license automatically.
6. Account Management
You must create an account to access full features. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities under your account.
Accounts may be individual or organizational. Organizational account owners can add authorized users and are liable for their actions. We may suspend or terminate accounts for violations of these Terms.
7. Acceptable Use
You agree to use the Services responsibly and in compliance with laws. Prohibited activities include:
- Uploading harmful, illegal, or infringing content, or data without proper authorization (e.g., third-party personal information).
- Recording, uploading, or processing another person’s voice without the authority, notice, consent, or other permission required by applicable law.
- Interfering with the Services’ operation or other users.
- Transmitting viruses, malware, or unsolicited communications.
- Violating third-party rights, including privacy or intellectual property.
- Using the Services for non-construction-related purposes without our consent.
We may monitor usage to enforce this and cooperate with authorities if needed.
8. Payment and Subscriptions
Subscriptions are billed as described at signup. Fees are non-refundable except as required by law. We may adjust pricing with 30 days’ notice. You authorize recurring charges and are responsible for taxes. Late payments may result in suspension.
9. Customer Content and AI-Assisted Outputs
If Rundown is made available to you, your use of it is subject to the additional recording, processing, and review terms in this Section.
As between you and Project Lens, and to the extent permitted by applicable law, you retain all rights you have in content that you upload, record, submit, create, edit, or generate through the Services (“Customer Content”). Customer Content includes project photos and videos, jobsite audio recordings, transcript text and timestamps, photo-marker and project-context data, descriptions, comments, tasks, generated Rundowns and reports, user edits, version history, and exported files.
By submitting Customer Content or using the Services to create Customer Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, process, transmit, display, and modify Customer Content as necessary to provide, operate, maintain, secure, debug, and support the Services and to make Customer Content available as you direct. This license permits us to use service providers to perform those functions on our behalf and lasts only as long as needed for those purposes, subject to the retention terms in our Privacy Policy and applicable law.
Before recording, uploading, or submitting audio that contains another person’s voice, you represent and warrant that you have the authority to do so and that you have provided every notice and obtained every consent or other permission required by applicable law. Recording and privacy laws vary by jurisdiction, and you are responsible for determining and complying with the requirements that apply to each recording.
Rundown uses third-party artificial intelligence services. To provide Rundown, Project Lens transmits jobsite audio to a speech-to-text service provider and transmits the resulting transcript text, deterministic photo-marker identifiers, and limited Rundown context, such as the report title and processing or correction metadata, to a large language model service provider to structure the generated output. Rundown does not send image, audio, or other media bytes to the large language model in its current version. Additional details are provided in our Privacy Policy.
Generated Rundowns and other AI-assisted outputs may be incomplete, inaccurate, or misleading. You must independently review, verify, and correct each output as appropriate before relying on it or sharing it with another person. AI-assisted outputs are not a substitute for your professional judgment, jobsite inspection, contractual documentation, safety obligations, or legal and regulatory compliance.
You warrant that Customer Content does not infringe rights, complies with laws, and that you have obtained all required permissions for any personal data included (e.g., client information). We may remove objectionable content but are not obligated to monitor it. You are solely responsible for Customer Content and for the accuracy, legality, and security of the content you submit and the outputs you choose to use or share.
10. Third-Party Integrations
10.1 Location Services
The Services may use your device’s location for features such as geotagging project photos. You consent to this use, subject to our Privacy Policy. The Services use Google Maps Platform features and content, including Places and Geocoding APIs, for location-based features such as project address lookup, address suggestions, and geocoding. Your use of those features and content is subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
10.2 Cloud Storage Integrations
You may connect a personal cloud storage account (such as Google Drive) to the Services to automatically sync photos, videos, and other project content captured through the Services. By enabling a cloud storage integration, you authorize us to transmit Customer Content to your connected account. We are not responsible for the availability, security, or handling of Customer Content once it has been transmitted to the third-party cloud storage service. You may revoke this authorization at any time by disconnecting the integration in your account settings.
10.3 General
All third-party integrations are provided as a convenience and are offered “as is.” We do not endorse, warrant, or assume liability for any third-party service, and your use of any connected service is at your own risk and subject to that service’s own terms and policies. We reserve the right to modify, suspend, or discontinue support for any third-party integration at any time.
11. Feedback and Improvements
Any feedback you voluntarily provide about the Services becomes our property, and we may use it without compensation. Feedback does not include Customer Content or Personal Information, and this Section does not authorize Project Lens to use Customer Content for general product improvement.
12. Warranty Disclaimer
The Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted access, error-free operation, data security, or the accuracy of reports or other outputs.
13. Limitation of Liability
To the fullest extent permitted by law, our liability is limited to direct damages not exceeding the fees you paid in the prior 12 months. We are not liable for indirect, consequential, or punitive damages, even if advised of their possibility, including losses related to data, projects, or client interactions.
14. Indemnification
You agree to indemnify us against claims arising from your use of the Services, Customer Content, or breach of these Terms, including disputes involving third-party data or shared reports.
15. Dispute Resolution
Any disputes will be resolved through binding arbitration under AAA rules in Delaware, except for small claims or injunctive relief. You waive class actions and jury trials. Governing law is Delaware’s without conflict principles.
16. Termination
We may terminate your access for any reason. Upon termination, your license ends, and you must delete Our Content. We may retain Customer Content as needed for legal or operational purposes, subject to our Privacy Policy.
17. Miscellaneous
These Terms are the entire agreement. If any provision is invalid, the rest remain. We may assign these Terms. Contact us at support@projectlens.io for questions.
